IMPORTANT LEGAL NOTICE - PLEASE READ CAREFULLY:
THESE TERMS OF SERVICE CONSTITUTE A LEGALLY BINDING AGREEMENT. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES. THESE TERMS CONTAIN LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES, AND INDEMNIFICATION OBLIGATIONS.
1. Definitions and Interpretation
In these Terms: "Agreement" means these Terms of Service and all documents incorporated by reference; "Content" means all text, data, graphics, images, audio, video, and other materials; "Platform" means the SCOPEOS predictive maintenance platform, including all software, applications, and related technology; "Services" means all services provided by SCOPEOS including the Platform, diagnostic analysis, expert consultations, and related offerings; "User," "you," or "your" means any individual or entity accessing or using the Services; "SCOPEOS," "we," "us," or "our" means Scopeos Limited and its affiliates, subsidiaries, officers, directors, employees, agents, partners, and licensors.
2. Acceptance of Terms
By accessing, browsing, or using the Services in any manner, you represent and warrant that: (a) you are at least 18 years old or the age of majority in your jurisdiction; (b) you have the legal capacity and authority to enter into this binding Agreement; (c) if acting on behalf of an organization, you have authority to bind that organization to these Terms; and (d) your use of the Services does not violate any applicable law, regulation, or third-party agreement.
3. Nature of Services and Informational Purpose
3.1 Informational Nature:
THE SERVICES, INCLUDING ALL DIAGNOSTIC ANALYSES, PREDICTIONS, RECOMMENDATIONS, AND EXPERT CONSULTATIONS, ARE PROVIDED FOR INFORMATIONAL AND REFERENCE PURPOSES ONLY. ALL OUTPUTS, REPORTS, ALERTS, AND RECOMMENDATIONS GENERATED BY THE PLATFORM OR PROVIDED BY SCOPEOS PERSONNEL ARE INTENDED SOLELY AS GENERAL GUIDANCE AND DO NOT CONSTITUTE PROFESSIONAL ENGINEERING ADVICE, SAFETY CERTIFICATIONS, OR GUARANTEES OF EQUIPMENT PERFORMANCE OR CONDITION.
3.2 No Professional Advice
SCOPEOS does not provide professional engineering services, certified inspections, or safety assessments. The Services do not replace the need for qualified on-site personnel, professional engineers, certified inspectors, or other qualified professionals. You are solely responsible for all decisions regarding equipment operation, maintenance, repair, and replacement.
3.3 User Responsibility
You acknowledge and agree that:
- (a) you remain solely responsible for the interpretation and use of any information provided through the Services;
- (b) you must independently verify all information before taking any action;
- (c) you must employ qualified personnel to make all operational and maintenance decisions;
- (d) the Services are supplementary tools and do not replace proper maintenance programs, safety protocols, or professional judgment;
- (e) you are solely responsible for compliance with all applicable laws, regulations, safety standards, and industry requirements.
4. Service Limitations and Availability
4.1 No Guarantee of Availability
SCOPEOS does not guarantee that the Services will be available, uninterrupted, timely, secure, or error-free. The Services may be suspended, modified, or discontinued at any time without prior notice or liability.
4.2 Technical Limitations
You acknowledge that:
- (a) sensor data, measurements, and analyses are subject to inherent technical limitations, environmental factors, and potential inaccuracies;
- (b) AI and machine learning algorithms produce probabilistic outputs that may not accurately predict all equipment conditions or failures;
- (c) diagnostic accuracy depends on data quality, sensor calibration, and proper installation, none of which SCOPEOS controls;
- (d) the absence of alerts or warnings does not indicate equipment is safe, operational, or free from defects.
4.3 Third-Party Dependencies
The Services may depend on third-party providers, including cloud infrastructure, sensor manufacturers, and data analytics partners. SCOPEOS is not responsible for failures, interruptions, or limitations arising from third-party services.
5. Disclaimer of Warranties
5.1 AS IS, AS AVAILABLE:
THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SCOPEOS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
5.2 Specific Disclaimers:
WITHOUT LIMITING THE FOREGOING, SCOPEOS SPECIFICALLY DISCLAIMS ALL WARRANTIES OF:
- (a) MERCHANTABILITY;
- (b) FITNESS FOR A PARTICULAR PURPOSE;
- (c) NON-INFRINGEMENT;
- (d) ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT, DATA, ANALYSIS, OR INFORMATION;
- (e) THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
- (f) THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- (g) THAT DEFECTS WILL BE CORRECTED;
- (h) THAT THE SERVICES OR SERVERS ARE FREE OF VIRUSES OR HARMFUL COMPONENTS;
- (i) THE ACCURACY OR RELIABILITY OF ANY PREDICTION, DIAGNOSIS, RECOMMENDATION, OR ANALYSIS.
5.3 No Warranty of Results:
SCOPEOS MAKES NO WARRANTY OR REPRESENTATION THAT USE OF THE SERVICES WILL: (a) PREVENT EQUIPMENT FAILURES, BREAKDOWNS, OR MALFUNCTIONS; (b) ENSURE SAFE OPERATION OF ANY EQUIPMENT; (c) REDUCE MAINTENANCE COSTS OR DOWNTIME; (d) DETECT ALL POTENTIAL PROBLEMS OR ISSUES; OR (e) PRODUCE ANY PARTICULAR RESULT OR OUTCOME. ANY RELIANCE ON THE SERVICES IS AT YOUR SOLE RISK.
5.4 Expert Consultations:
All expert consultations, CAT-certified analyst opinions, and professional recommendations are provided as informational guidance only and do not constitute professional certifications, warranties of accuracy, or guarantees of outcomes. Individual analyst opinions may vary and should be independently verified.
6. Limitation of Liability
6.1 Exclusion of Certain Damages:
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCOPEOS, ITS AFFILIATES, SUBSIDIARIES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY: (a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (b) LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS; (c) LOSS OF DATA OR DATA CORRUPTION; (d) BUSINESS INTERRUPTION OR PRODUCTION LOSSES; (e) EQUIPMENT DAMAGE, FAILURE, OR MALFUNCTION; (f) PERSONAL INJURY OR PROPERTY DAMAGE; (g) COST OF SUBSTITUTE GOODS OR SERVICES; (h) LOSS ARISING FROM RELIANCE ON ANY INFORMATION, ANALYSIS, PREDICTION, OR RECOMMENDATION; OR (i) ANY OTHER LOSS OR DAMAGE OF ANY KIND, EVEN IF SCOPEOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF SUCH DAMAGES WERE FORESEEABLE.
6.2 Cap on Liability:
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SCOPEOS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT PAID BY YOU TO SCOPEOS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (b) ONE HUNDRED POUNDS STERLING (£100). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
6.3 Acknowledgment of Risk Allocation:
You acknowledge that: (a) the limitations of liability set forth herein are fundamental elements of the bargain between you and SCOPEOS; (b) SCOPEOS would not provide the Services without these limitations; (c) the pricing of the Services reflects this allocation of risk; and (d) these limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.
6.4 Specific Exclusions:
Without limiting the generality of the foregoing, SCOPEOS shall not be liable for: (a) any decisions made or actions taken by you or any third party based on information provided through the Services; (b) any failure to predict, detect, or prevent equipment failure, malfunction, or breakdown; (c) any inaccuracy in sensor data, measurements, or analyses; (d) any delays, interruptions, or unavailability of the Services; (e) any unauthorized access to or alteration of your data; (f) any errors in AI predictions or machine learning outputs; or (g) any third-party actions or omissions.
7. Indemnification
7.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless SCOPEOS and its affiliates, subsidiaries, directors, officers, employees, agents, partners, licensors, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to: (a) your use of or inability to use the Services; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) any content or data you submit, post, or transmit through the Services; (e) your decisions, actions, or omissions based on information obtained through the Services; (f) any equipment failure, malfunction, damage, or related claims; (g) any personal injury or property damage arising from your use of the Services or your equipment; and (h) any third-party claims arising from your use of the Services.
7.2 Defense and Settlement
SCOPEOS reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with SCOPEOS in the defense of any such claim. You shall not settle any claim without SCOPEOS's prior written consent.
8. Intellectual Property
8.1 SCOPEOS Property
The Services, including all software, algorithms, methodologies, interfaces, documentation, and content, are owned by SCOPEOS or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited license expressly granted herein.
8.2 License Grant
Subject to your compliance with these Terms, SCOPEOS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes. This license does not include any right to:
- (a) modify, copy, distribute, or create derivative works;
- (b) reverse engineer, decompile, or disassemble any aspect of the Services;
- (c) access the Services to build a competitive product or service;
- (d) sublicense, resell, or transfer the Services to any third party.
9. Your Data and Content
9.1 Your Responsibility
You retain ownership of data you submit to the Services but grant SCOPEOS a worldwide, royalty-free license to use, process, store, and analyze such data for providing the Services and improving our products. You are solely responsible for the accuracy, quality, and legality of your data.
9.2 Data Accuracy
SCOPEOS is not responsible for verifying the accuracy of data you submit. Inaccurate, incomplete, or corrupted data may result in inaccurate outputs. SCOPEOS disclaims all liability arising from data quality issues.
10. Termination
10.1 Termination Rights
SCOPEOS may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, and without liability. Upon termination, all licenses and rights granted to you shall immediately cease.
10.2 Survival
The following provisions shall survive termination: Sections 5 (Disclaimer of Warranties), 6 (Limitation of Liability), 7 (Indemnification), 8 (Intellectual Property), 11 (Governing Law), and any other provisions that by their nature should survive.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
11.2 Jurisdiction
You agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising out of or relating to these Terms or the Services.
11.3 Waiver of Jury Trial
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS.
12. Force Majeure
SCOPEOS shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, epidemics, pandemics, labor disputes, power failures, Internet or telecommunications failures, cyberattacks, or any other circumstances beyond SCOPEOS's reasonable control.
13. Modifications to Terms and Services
SCOPEOS reserves the right to modify these Terms, the Services, or any aspect thereof at any time without prior notice. Continued use of the Services after any modifications constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.
14. Miscellaneous Provisions
14.1 Entire Agreement
These Terms constitute the entire agreement between you and SCOPEOS regarding the Services and supersede all prior agreements, representations, and understandings.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
14.3 No Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. SCOPEOS's failure to exercise any right shall not constitute a waiver of such right.
14.4 Assignment
You may not assign or transfer these Terms without SCOPEOS's prior written consent. SCOPEOS may assign these Terms without restriction.
14.5 No Third-Party Beneficiaries
These Terms do not confer any rights on any third party.
14.6 Headings
Section headings are for convenience only and shall not affect the interpretation of these Terms.
